EURAMCO Invest GmbH is the fully licensed capital management company of the EURAMCO Group. We enable institutional and private investors to invest in particularly promising real assets.

Capital Management Company (KVG)

Role

The role of capital management companies is to manage domestic, EU investment funds or foreign alternative investment funds (AIFs). This is done separately from their own assets – either in the form of special assets or as legally independent entities – for the protection of investors. Until the restructuring of the market and the entry into force of the German Capital Investment Code in summer 2013, KVGs were commonly referred to as investment or fund management companies.

A KVG typically consists of a management board and a supervisory board or advisory board, which acts as a control body. The management is responsible for overseeing all processes and ensuring compliance with applicable regulations. The core responsibilities include fund management, portfolio management, risk management, and maintaining the investor register. Their duties span the entire investment cycle: from structuring the investment, through management, to the eventual disposal of assets. In the case of real estate funds, asset management also falls within their remit.

Risk management addresses, among other things, market dynamics, liquidity, and related risks. The KVG is responsible for all measures taken as part of portfolio management. Any risks taken must be within the boundaries of the predefined investment strategy.

Supervision by BaFin

The activities of KVGs are subject to strict supervision by the Federal Financial Supervisory Authority (BaFin).

As a general rule, any entity wishing to offer shares or units in investment funds in Germany must first undergo a marketing notification process with BaFin.

BaFin’s approval of a KVG is tied to a number of conditions. Key criteria include capital adequacy, internal organisation, conduct of business rules, risk management, the individuals involved, and liquidity planning. Particularly stringent requirements apply to the management of alternative investment funds (AIFs). Since the implementation of the EU Directive for Alternative Investment Fund Managers (AIFMD) into the German Capital Investment Code in 2013, such capital management companies have been subject to enhanced regulation.
